These terms are an agreement between you and Damper Pty Ltd (ACN 701 116 369), the company that builds Damper. By downloading, signing in to, or using Damper, you agree to them.
In these terms, "we" and "us" mean Damper Pty Ltd. "Damper" means the macOS app and the service behind it. "Your content" means the meetings, notes, transcripts and other material you create or bring into Damper.
The short version
- Your content is yours. We don't claim ownership of your meetings, notes or transcripts.
- You give us permission to run and improve Damper using your content. What that means in practice is set out in our Privacy Policy, and you can control parts of it in Settings.
- You're responsible for recording lawfully and for the people in your meetings.
- Damper is free today. If we introduce paid plans, we'll tell you the price before you're charged.
1. Who can use Damper
You must be at least 16 years old. If you're using Damper for an organisation, you confirm you're allowed to agree to these terms on its behalf.
You need an account to use Damper. Keep your sign-in details secure — you're responsible for activity on your account.
2. Your content stays yours
You own your content. Nothing in these terms transfers ownership of your meetings, notes or transcripts to us.
3. The permissions you give us
To run Damper, we need your permission to handle your content. You grant us a worldwide, non-exclusive, royalty-free licence to process and use your content to provide, maintain, improve, and develop Damper.
In practice, that means transcribing your meetings, writing your notes, answering your questions, syncing your library across the Macs you sign in to, keeping the service running, and making Damper better at all of it over time.
This licence exists so the service can run and improve. It does not transfer ownership, and it does not permit us to sell or publish your content.
You can control how your content is used to improve Damper in the app under Settings. Our Privacy Policy explains what we process and why.
This licence ends when you delete the relevant content or close your account, except where we're required to keep records.
4. Recording meetings is your responsibility
Damper records conversations that involve other people. Laws about recording differ between Australian states and between countries.
You are responsible for complying with the laws that apply to you, and for telling the people in your meetings when that's required or simply the right thing to do. Damper offers reminders and an option to add a line to calendar invites you organise. These are tools to help you — they are not legal advice, and they don't obtain anyone's consent on your behalf.
You agree not to use Damper to record anyone unlawfully.
5. Acceptable use
Don't use Damper to:
- break the law, or help anyone else break it;
- record people unlawfully, or without a consent you're required to have;
- upload content you don't have the right to use;
- interfere with, overload, probe or reverse-engineer the service;
- resell or redistribute Damper without our written permission;
- use the service to build a competing product.
We may suspend or close accounts that break these rules.
6. Plans and payment
Damper is currently free to use. We may introduce paid plans.
If you subscribe to a paid plan:
- Prices are shown before you subscribe, and we'll tell you the price before you're charged.
- Payments are processed by Stripe. Their terms apply to the payment itself, and we never see or store your full card number.
- Subscriptions renew automatically for the same period until you cancel.
- You can cancel at any time. Cancelling stops the next renewal; your plan runs until the end of the period you've paid for.
- Refunds are considered case by case, in addition to the rights you have under the Australian Consumer Law, which we can't exclude. If something has gone wrong, contact us.
- Prices may include or exclude GST as indicated at checkout.
- We may change prices. If we do, we'll give you notice before the change affects your subscription, and you can cancel if you don't want to continue.
7. Availability and changes
We're building Damper actively. Features may change, improve, or be removed. We'll avoid breaking things you depend on where we reasonably can.
We don't promise the service will be uninterrupted or error-free. Maintenance, provider outages and faults happen.
8. Services you connect
Damper can connect to services you choose, such as your calendar. Those services are run by other companies under their own terms, and we're not responsible for them. You can disconnect them.
9. Ending the agreement
You can stop using Damper at any time. To close your account, contact us at legal@damperapp.com.
We may suspend or close your account if you break these terms, if we're required to by law, or if we stop offering the service. If we close your account without cause and you've paid for a period you haven't used, we'll refund the unused part.
10. Guarantees and liability
Australian Consumer Law. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms limits your rights under that law. Where we're allowed to limit our liability for a failure to meet a consumer guarantee, we limit it to resupplying the service or paying the cost of resupply.
Beyond those rights, Damper is provided "as is". To the extent the law allows, we're not liable for indirect or consequential loss, lost profits, lost data, or loss arising from your use of the service, and our total liability in any 12-month period is limited to the amount you paid us in that period.
Damper produces notes and answers automatically. They can be wrong or incomplete. Check anything important before relying on it.
11. Changes to these terms
We may update these terms. If a change materially affects you, we'll tell you by email or in the app before it takes effect. Continuing to use Damper after that means you accept the updated terms.
12. Governing law
These terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of that state.
